These Terms & Conditions ("Terms") govern your use of hynovastudio.com and any services provided by Hynova Studio, a sole proprietorship owned and operated by Avik Kumar, Bengaluru, Karnataka, India ("Hynova", "we", "us"). By using this website or engaging us, you agree to these Terms.
Our website and services are intended for businesses and individuals aged 18 or over.
Hynova builds AI-led growth systems across performance marketing, SEO, AI search visibility, social media, branding, AI automation, and web/app/SaaS engineering. Every engagement begins with a strategy call, followed by a blueprint or statement of work ("SOW") setting out scope, timeline, and pricing. The SOW, together with these Terms, governs the engagement; if they conflict, the SOW prevails.
Pricing is scope-based and confirmed in your blueprint/SOW before work begins. Quotes are valid for the period stated in them. All fees are exclusive of applicable taxes (including GST) unless stated otherwise.
Fees are billed as set out in your SOW — typically a monthly retainer or project milestones, currently via bank transfer/invoice. We expect to enable online payments via Razorpay (India) and Stripe (international), including for Hynova OS subscriptions; those transactions will also be governed by our Refund & Cancellation Policy. Late payments may pause active work.
Timely delivery depends on you providing required inputs, access, approvals and feedback, and ensuring you have the rights to any materials you give us.
On full payment, you own the final deliverables and assets created specifically for you. Hynova retains ownership of its pre-existing tools, frameworks, methods, and any general know-how. Unless you opt out in writing, we may reference the engagement and non-confidential results in our portfolio.
We commit to professional execution but do not guarantee specific outcomes such as a fixed number of leads, sales, rankings, ROAS, or AI citations. Results depend on factors including your market, offer, budget and third-party platforms. See our Disclaimer.
Our work often involves third-party platforms (e.g. Meta, Google, LinkedIn, hosting and automation tools). Your use of those platforms is subject to their own terms, and we are not responsible for their acts, outages, or policy changes.
You agree not to misuse the website or services — including attempting to gain unauthorised access, transmitting malware, scraping at scale, infringing intellectual property, or using our work for unlawful purposes.
Each party agrees to keep the other's non-public information confidential and to use it only for the engagement.
The website and services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
To the maximum extent permitted by law, Hynova's total liability for any claim arising from the website or an engagement is limited to the fees you paid for the specific service giving rise to the claim in the three months preceding it. We are not liable for indirect, incidental, or consequential losses.
You agree to indemnify Hynova against claims arising from your breach of these Terms or your misuse of the website or deliverables.
Either party may end an engagement with written notice as specified in the SOW. Fees for work completed up to termination remain payable.
These Terms are governed by the laws of India. The courts of Bengaluru, Karnataka have exclusive jurisdiction, subject to any arbitration agreed in an SOW.
We may update these Terms from time to time; the current version is always posted on this page.
